1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "User," or "you") and Krestovitch Security LLP, a Canadian corporation registered in Quebec with VAT number 920581431 RT 0001, operating from 1000 Rue de la Gauchetière O, Montréal, QC H3B 4W5, Canada ("Company," "we," "us," "our"). By accessing, using, or engaging our services, you agree to be bound by these Terms. If you do not agree to all Terms, you must not use our services.

2. Services Description

Krestovitch Security LLP provides comprehensive perimeter defense, security assessment, vulnerability management, and related security consulting services ("Services"). Services are provided as described in individual service agreements, proposals, or statements of work. We reserve the right to modify, suspend, or discontinue any aspect of our Services with written notice.

3. Eligibility and Account Responsibilities

You represent that you are at least 18 years old and have the legal authority to enter into this agreement on behalf of your organization. You are responsible for maintaining the confidentiality of all account credentials, passwords, and authentication information. You agree to notify us immediately of any unauthorized access or use of your account. You are liable for all activities conducted under your account.

4. Acceptable Use Policy

You agree to use our Services only for lawful purposes. You shall not:

• Violate any applicable laws, regulations, or third-party rights
• Attempt unauthorized access to our systems or networks
• Interfere with or disrupt our Services or infrastructure
• Engage in reverse engineering, decompilation, or circumvention of security measures
• Transmit malware, viruses, or harmful code
• Conduct phishing, social engineering, or fraudulent activities
• Violate the rights of others or engage in harassment

5. Intellectual Property Rights

All materials, including reports, methodologies, tools, software, and documentation provided by Krestovitch Security LLP, remain our exclusive intellectual property. You are granted a limited, non-exclusive, non-transferable license to use such materials solely for the purposes outlined in your service agreement. You shall not reproduce, distribute, modify, or create derivative works without our prior written consent. Your data and systems remain your property; we use them only to deliver Services.

6. Confidentiality and Data Protection

We maintain strict confidentiality regarding all Client information and Security findings. Both parties agree to treat confidential information as proprietary. We comply with PIPEDA (Personal Information Protection and Electronic Documents Act) and applicable Quebec privacy laws. 7. Payment Terms

Service fees are as specified in individual agreements or invoices. Payment is due within 30 days of invoice issuance unless otherwise agreed in writing. Late payments accrue interest at the maximum rate permitted under Quebec law. We reserve the right to suspend Services for non-payment. All fees are exclusive of applicable taxes (HST/GST). Additional services not outlined in the original agreement are billed separately.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: (a) Our total liability shall not exceed the amount paid by you for Services in the 12 months preceding the claim; (b) We are not liable for indirect, incidental, consequential, special, or punitive damages, including lost profits, data loss, or business interruption, even if advised of their possibility; (c) Security assessment findings are based on available information and testing methodologies; no assessment guarantees complete identification of all vulnerabilities or absence of future threats; (d) You assume all responsibility for implementing our recommendations and conducting additional testing.

9. Warranty Disclaimer

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that Services will be uninterrupted, error-free, or secure. We do not guarantee prevention of all security threats or breaches.

10. Indemnification

You agree to indemnify, defend, and hold harmless Krestovitch Security LLP, its officers, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from: (a) your use of our Services; (b) your violation of these Terms; (c) your violation of applicable laws; (d) infringement claims related to your data or systems; (e) your unauthorized access to or use of our Services.

11. Termination

We may terminate or suspend your access to Services immediately, without notice, if you violate these Terms or engage in unlawful activity. Either party may terminate Services with written notice as specified in the applicable service agreement. Upon termination, your right to use Services ceases immediately. Sections regarding confidentiality, intellectual property, indemnification, and liability survive termination.

12. Dispute Resolution and Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Quebec, Canada, without regard to conflict of law principles. Any legal action or proceeding arising under these Terms shall be exclusively brought in the courts located in Montreal, Quebec. You consent to the jurisdiction and venue of such courts and waive any objection to such venue.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Modifications become effective upon posting to our website. Continued use of our Services after changes constitutes acceptance of updated Terms. Significant changes will be communicated via email or notification on our website.

14. Independent Contractor

Krestovitch Security LLP operates as an independent contractor. No partnership, joint venture, employment, or agency relationship exists between us. You are not authorized to represent us or bind us to any obligation.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, such provision shall be modified to the minimum extent necessary to make it enforceable, or if not possible, severed. The remaining provisions shall continue in full force and effect.

16. Entire Agreement

These Terms, along with any applicable service agreements and privacy policies, constitute the entire agreement between you and Krestovitch Security LLP concerning our Services. They supersede all prior negotiations, understandings, and agreements. No amendment is valid unless made in writing and signed by authorized representatives of both parties.
